Terms of Service

1. Agreement

By accessing or using the Ethicly platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Ethicly Ltd ("Ethicly", "we", "us"). If you do not agree to these Terms, do not use the Service.

2. The Service

Ethicly is a contextual advertising network that connects advertisers with publishers. We provide a platform for advertisers to create and manage ad campaigns, and for publishers to monetise their inventory. All ad targeting is contextual. We do not offer behavioural targeting, user profiling, or real-time bidding.

3. Account registration

Access to the platform requires an approved account. All applications are reviewed by a human before approval. We reserve the right to decline any application without providing a reason. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Advertiser terms

  • All ad creatives are reviewed and must be approved before serving
  • Ads must not contain misleading claims, prohibited content, or malware
  • Pricing is fixed-rate CPM as displayed in the platform. There are no hidden fees
  • Impressions are verified using viewability standards (IAB) and independent fraud detection
  • You will only be billed for verified, viewable impressions
  • Campaign budgets and spending are visible in real time through your dashboard

5. Publisher terms

  • Publishers receive the majority share of ad revenue. Revenue splits are published and fixed
  • Publishers can review, approve, or reject any ad before it runs on their site
  • Publishers can block ad categories and set CPM floor prices
  • Publisher sites are reviewed for editorial quality before approval
  • Revenue reports are available in real time through the publisher dashboard
  • Payments are processed monthly for balances exceeding the minimum payout threshold

6. Prohibited content

The following content is prohibited on the Ethicly network, for both advertisers and publishers:

  • Content that promotes violence, hatred, or discrimination
  • Malware, phishing, or deceptive practices
  • Illegal products or services
  • Misleading health or financial claims
  • Content that violates intellectual property rights
  • Surveillance technology or data broker services

7. Payment terms

Advertisers fund their accounts in advance. Campaigns draw from the account balance as impressions are served. Unused balances are refundable upon account closure. Publisher payouts are calculated monthly based on verified impressions served on their inventory, at the agreed revenue share rate.

8. Data and privacy

Our approach to data is described in our Privacy Policy. In summary: we do not collect personal data from ad viewers, we do not build user profiles, and we do not participate in real-time bidding. Account holder data is used solely for operating the service.

9. Termination

Either party may terminate the relationship at any time. Advertisers can pause or cancel campaigns through the dashboard. Publishers can remove the Ethicly snippet from their site at any time. We reserve the right to suspend or terminate accounts that violate these Terms, with notice where practical.

10. Limitation of liability

Ethicly provides the Service "as is". To the maximum extent permitted by law, we disclaim all warranties, express or implied. Our total liability for any claim arising from use of the Service is limited to the amount you paid to us in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of Switzerland. Any disputes shall be resolved in the courts of Zurich, Switzerland.

12. Changes to these Terms

We will notify account holders by email of any material changes to these Terms at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
